Welcome to DistriBrain. These Terms and Conditions ("Terms") govern your use of the DistriBrain platform, website (distribrain.com), and services. By creating an account or using our services, you agree to be bound by these Terms.
Definitions
"DistriBrain," "we," "us," "our" refers to DistriBrain and its operators.
"Customer," "you," "your" refers to the individual or entity using our services.
"Service" refers to the DistriBrain platform, including AI agent deployment, hosting, API access, and related infrastructure.
"Instance" refers to a dedicated AI agent environment provisioned for your use.
"API Credits" refers to the prepaid balance used to cover AI model usage on Managed (Tier 1) plans.
Services
DistriBrain provides on-demand deployment of private AI agents. Each customer receives a dedicated, isolated compute instance accessible via Telegram and a web dashboard. Our services include:
Provisioning and hosting of AI agent instances on dedicated infrastructure.
Managed API access to AI models (Tier 1 — Managed plans).
Infrastructure for customers who supply their own API keys (Tier 2 — BYOK plans).
Ongoing maintenance, updates, and technical support.
Account & Registration
You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
Subscription & Payment
4.1. Billing. Subscriptions are billed monthly via Stripe. By subscribing, you authorize recurring charges to your payment method.
4.2. API Credits (Tier 1). Managed plans include a monthly allocation of API credits. Unused credits do not roll over. Additional credits may be purchased as one-time top-ups.
4.3. Pricing Changes. We may adjust pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
4.4. Cancellation. You may cancel your subscription at any time. Access continues until the end of the current billing period. No prorated refunds are provided for partial months.
4.5. Termination for Non-Payment. If payment fails, we may suspend or terminate your instance after reasonable notice.
Acceptable Use
You agree not to use DistriBrain services to:
Violate any applicable law or regulation.
Generate, store, or distribute illegal, harmful, or abusive content.
Attempt to gain unauthorized access to our infrastructure or other customers' instances.
Reverse engineer, decompile, or extract source code from our platform.
Resell or redistribute access to your instance without our written consent.
Circumvent usage limits, rate limits, or security controls.
We reserve the right to suspend or terminate instances that violate these terms without prior notice.
Infrastructure & Isolation
Each instance runs on dedicated compute infrastructure. We do not share instance resources between customers. Your data, configuration, and conversation history are isolated to your instance. We do not access your instance data except as necessary for technical support (with your consent) or as required by law.
Data & Privacy
7.1. Your Data. You retain ownership of all data you provide to or generate through your AI agent, including conversation history, configuration, and uploaded files.
7.2. AI Model Providers. Tier 1 (Managed) instances route AI requests through third-party model providers (such as DeepSeek, Anthropic, and OpenAI). These providers have their own terms of service and data handling policies. We do not control how upstream providers process your prompts and responses.
7.3. Account Data. We collect and store your email address, payment information (via Stripe), and usage metadata to operate the service. We do not sell your personal data to third parties.
7.4. Deletion. Upon termination of your subscription (after the billing period ends), your instance and associated data are permanently deleted within 30 days.
API Credits & Usage (Tier 1)
8.1. API credits. API credits are consumed based on actual token usage as metered by our proxy. Pricing per model is displayed on your dashboard.
8.2. Zero balance. When your credit balance reaches zero, AI requests will be rejected until credits are replenished (via monthly reset or top-up purchase).
8.3. No refund/transfer. Credit balances are non-transferable and non-refundable.
Availability & SLA
We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance, upstream provider outages, and force majeure events may cause temporary disruptions. We will make reasonable efforts to notify customers of planned maintenance in advance.
Intellectual Property
The DistriBrain platform, including its software, design, and documentation, is our intellectual property. Your subscription grants you a limited, non-exclusive, non-transferable right to use the service for its intended purpose. AI-generated content produced by your instance belongs to you, subject to the upstream model providers' terms.
Limitation of Liability
To the maximum extent permitted by law:
DistriBrain is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the service.
DistriBrain is not liable for the accuracy, quality, or appropriateness of AI-generated content.
DistriBrain is not liable for losses caused by upstream AI provider outages, API changes, or policy modifications.
Our total liability shall not exceed the amount you paid to DistriBrain in the 12 months preceding the claim
Indemnification
You agree to indemnify and hold DistriBrain harmless from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.
Modifications
We may update these Terms at any time. Material changes will be communicated via email or dashboard notification at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
Termination
Either party may terminate the subscription at any time. Upon termination:
You retain access until the end of the current billing period.
We will delete your instance and data within 30 days of the billing period ending.
Outstanding payment obligations survive termination.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
